6. Payments

Unless otherwise agreed in writing:

• Payments must be made according to the agreed milestone schedule.
• Delayed payments may result in suspension of work.
• Taxes, government charges, gateway fees, or third-party service costs are the client's responsibility unless specifically included in the quotation.
• Completed milestones are non-refundable unless otherwise stated in a signed agreement.

7. Client Responsibilities

Clients agree to:

• Provide accurate project requirements.
• Deliver required content, branding assets, and approvals on time.
• Respond to requests within a reasonable timeframe.
• Obtain necessary rights and licenses for materials they provide.

Delays caused by the client may affect project timelines.

8. Intellectual Property

Unless otherwise agreed in writing:

• SynapseSage retains ownership of its proprietary frameworks, reusable code, libraries, templates, tools, and methodologies.
• Upon full payment, the client receives ownership or a license to the custom-developed project deliverables as specified in the project agreement.
• Third-party software remains subject to its respective licenses.

9. Third-Party Services

Projects may use third-party services such as:

• Cloud hosting providers
• Payment gateways
• SMS or email providers
• Mapping services
• AI service providers
• Analytics tools
• Authentication providers

SynapseSage is not responsible for changes, outages, pricing updates, or policy changes made by third-party providers.

10. Service Availability

We strive to provide reliable services but do not guarantee uninterrupted availability. Maintenance, technical issues, or external factors may occasionally affect access.

Both parties agree to maintain the confidentiality of non-public business information shared during a project, except where disclosure is required by law or agreed upon in writing.

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

14. Indemnification

You agree to indemnify and hold SynapseSage harmless from claims, damages, liabilities, costs, and expenses arising from:

• Content or materials you provide;
• Your violation of these Terms or applicable laws.

15. Termination
